Terms of Service

1. Acceptance of Terms

By downloading, installing, or using the Vocaly application ("the App"), you agree to be bound by these Terms of Service ("Terms"). The App is operated by Sidane LLC, registered in Sharjah Media City (Shams), United Arab Emirates ("we," "our," or "us"). If you do not agree to these terms, please do not use the App.

2. Description of Service

Vocaly is a mobile application that lets you create high-fidelity voice profiles from audio samples and generate text-to-speech using those voices. The service relies on ElevenLabs Instant Voice Cloning and Multilingual text-to-speech models. With Vocaly you can:

  • Record a 30-second voice sample directly in the App, or import an existing audio or video file from your photo library, Voice Memos, or Files
  • Generate a cloned voice profile from that sample
  • Type any text and produce a synthetic speech file in that voice, in any of 29 supported languages
  • Play, save, and share the generated audio through the iOS share sheet

3. Eligibility & User Account

You must be at least 13 years old (16 in the European Economic Area) to use the App. By using the App you represent that you meet this age requirement.

Vocaly does not require manual account creation. All credit balances, voice profiles, and history are stored locally on your device. Subscription and purchase entitlements are managed through your Apple ID via the App Store.

4. Credits, Subscriptions & Purchases

4.1 Credit System

  • Cloning a voice consumes 5 credits.
  • Generating one text-to-speech audio file consumes 1 credit.
  • Credits granted by an active subscription are consumed first; credits purchased through one-time packs are consumed afterwards.

4.2 Subscriptions

  • Pro Weekly — 50 credits every week. Includes a 3-day free trial for new subscribers.
  • Pro Annual — 200 credits every month, billed once per year.

Subscription prices are displayed in your local currency at checkout via the App Store and may vary by region. The exact prices shown in the App at the time of purchase are authoritative.

4.3 One-Time Credit Packs

  • Starter — 10 credits
  • Plus — 50 credits (best value)
  • Mega — 200 credits

One-time credit packs do not expire and do not auto-renew.

4.4 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the end of the current period. Your Apple ID will be charged for the renewal within 24 hours prior to the end of the current period.

4.5 Cancellation

You can cancel your subscription at any time through your Apple ID account settings (Settings > [your name] > Subscriptions > Vocaly). Cancellation takes effect at the end of the current billing period and you keep access to your subscription benefits until then. Uninstalling the App does not cancel your subscription.

4.6 Refunds

Refunds for subscriptions and credit packs are handled in accordance with the Apple App Store refund policy. To request a refund, please use reportaproblem.apple.com. Sidane LLC does not process refunds directly.

4.7 Free Trial

If you subscribe to Pro Weekly, you may be eligible for a 3-day free trial. The trial converts automatically into a paid subscription at the end of the trial period unless cancelled at least 24 hours before. Only one free trial is available per Apple ID.

5. Acceptable Use

Vocaly is a powerful voice-cloning tool. By using it, you agree to the following rules:

  • Consent & ownership: You may only clone voices for which you (a) own the rights, (b) have obtained explicit, informed consent from the speaker, or (c) are otherwise legally permitted to use under applicable law. Cloning a real person's voice without their consent is strictly prohibited.
  • No impersonation or fraud: You may not use cloned voices to impersonate any person in a misleading way, commit fraud, defame anyone, generate non-consensual intimate or sexual content, defeat voice-authentication systems, or otherwise deceive a third party.
  • No illegal content: You may not use the App to create, distribute, or attempt to generate content that violates applicable laws, including child sexual abuse material, content that incites violence or terrorism, harassment, or hate speech.
  • No misuse of the service: You may not reverse-engineer the App, attempt to extract API keys or credentials, circumvent credit limits or payment systems, redistribute or sublicense the App, or use the service to build a competing product.
  • Disclosure of AI-generated content: When sharing AI-generated speech publicly, you must clearly disclose that the audio is AI-generated whenever required by applicable law (including the EU AI Act).

We may suspend or terminate your access to the App, and refuse service for future purchases, if we reasonably believe you are violating these rules. Sidane LLC and ElevenLabs may report illegal content to competent authorities.

6. Voice Data & AI Processing

Vocaly uses third-party AI services to clone voices and generate speech (see our Privacy Policy for details):

  • When you clone a voice, your audio sample is transmitted securely to ElevenLabs Inc. over HTTPS. ElevenLabs creates a voice model used to generate speech on your behalf and is bound by their own Terms of Service and Privacy Policy.
  • When you generate speech, the text and the voice profile reference are transmitted to ElevenLabs, which returns the synthesised audio file.
  • Sidane LLC does not operate the AI models, does not store your audio samples on our servers, and does not use your voice or text for model training.

7. Intellectual Property

  • The App, including its source code, design, brand, name, and logo, is the property of Sidane LLC and is protected by international copyright and intellectual property laws.
  • Voice profiles you create from samples that you own or for which you have consent remain yours to use within the App, subject to ElevenLabs' content policies.
  • Audio files generated through the App are licensed to you for personal and commercial use, provided you comply with Section 5 (Acceptable Use), the ElevenLabs Terms, and applicable law.
  • You grant Sidane LLC and ElevenLabs the limited, non-exclusive rights strictly necessary to process your audio and text for the purpose of providing the service.

8. Disclaimers & Limitation of Liability

  • The App and all generated audio are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
  • AI-generated speech may contain errors, mispronunciations, artifacts, or unintended content. Quality depends on the input sample, the chosen language, and the AI provider's models.
  • To the maximum extent permitted by law, Sidane LLC, its directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising out of your use of the App.
  • Our aggregate liability for any claims arising out of or related to these Terms shall not exceed the amount you paid to us in the 12 months preceding the event giving rise to the claim, or USD 50, whichever is greater.

9. Indemnification

You agree to defend, indemnify, and hold harmless Sidane LLC and its affiliates from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of (a) your use of the App, (b) your violation of these Terms, (c) your violation of any third-party right, including consent and intellectual property rights of any person whose voice you clone, or (d) any AI-generated content you create or distribute using the App.

10. Service Availability & Changes

We strive to keep the service available at all times but do not guarantee uninterrupted availability. The service may be temporarily unavailable for maintenance, updates, or technical reasons, or because of issues at our AI partners. We may add, modify, or remove features, languages, subscription tiers, credit costs, or pack offers at any time. Material changes will be communicated through the App or these Terms.

11. Termination

You may stop using the App at any time. We may suspend or terminate your access if you violate these Terms or applicable law. Upon termination, your subscriptions are cancelled and your local data may be deleted with the App. Sections 5, 7, 8, 9, 10, 12, and 13 survive termination.

12. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page. Your continued use of the App after changes are posted constitutes your acceptance of the updated Terms.

13. Governing Law & Disputes

These Terms are governed by the laws of the United Arab Emirates, without regard to its conflict-of-laws principles. Any dispute arising out of or in connection with these Terms shall be submitted to the competent courts of Sharjah, UAE. Nothing in this clause limits any mandatory consumer protection rights you have under the laws of your country of residence.
